1. Who you are agreeing with
InstantSam is operated by InstantSam LLC, a Texas limited liability company, doing business as InstantSam, at 3120 Southwest Freeway, 1st Floor, Houston, TX 77098. You can reach us at support@instantsam.com.
In these Terms, InstantSam, we, us and our mean InstantSam LLC. You and your mean the person using the service, and where that person is acting for a company, the company as well.
2. What InstantSam is, and what it is not
InstantSam is software. It monitors federal contracting notices published by the United States Government, matches them against what you tell us you are looking for, reads solicitation documents and summarises them, tracks changes to notices you follow, and records what you bid and what happened.
InstantSam is not SAM.gov and is not connected to the United States Government in any way. SAM.gov is free. What you pay us for is the software built on top of the public information it publishes.
You remain responsible for your own SAM.gov registration, your representations and certifications, your proposals, your deadlines and your compliance obligations. Those are between you and the government. We do not file anything for you and we cannot act for you.
We do not guarantee that you will win a contract, earn revenue, qualify for a set-aside, have a registration approved, or submit a responsive bid.
3. Accepting these Terms
Creating an account, subscribing, or using InstantSam means you accept these Terms. If you do not accept them, do not use the service.
We may change these Terms. When a change is material we will tell you by email to the address on your account, or in the app, at least fourteen days before it takes effect, and we will update the date at the top of this page. Continuing to use InstantSam after a change takes effect means you accept the revised Terms. If you do not, cancel and stop using the service, and if the change lands mid-billing-period you can ask us for a pro-rated refund of the unused part.
4. Who may use it
You must be at least 18 years old and able to enter into a binding contract. InstantSam is built for businesses pursuing federal contracts and is not directed at children.
If you are using InstantSam for a company, you confirm you are authorised to bind that company to these Terms.
Do not create an account using a false identity or false business information.
5. Your account
- Give accurate registration information and keep it current.
- You are responsible for your password and for anything done through your account.
- Tell us promptly if you think somebody else has access to it.
- A paid subscription covers your organisation. Sharing one login outside your organisation is not permitted.
We may suspend or close an account involved in fraud, abuse, a security risk, or a breach of these Terms. Where it is reasonable to do so, we will tell you why.
6. Government information, and why you must still check it
Opportunity records, award records and related information come from public United States Government sources, principally SAM.gov and USAspending.gov. We retrieve that information on a schedule. We do not operate those systems, we cannot correct them, and we are not told when they change.
Before you act on anything, verify it against the official notice on SAM.gov. The official notice controls. An alert we failed to send, sent late, or sent wrongly does not change a government deadline, and does not create one.
Amendments, cancellations, deadline changes, set-aside changes and award decisions are made by contracting agencies. We report what those systems publish, as and when they publish it.
7. Artificial intelligence features
Several parts of InstantSam use artificial intelligence, including solicitation document summaries, answers to questions you ask about a document, and bid guidance. Those features are labelled in the product.
AI output can be wrong. It can miss things, misread things, and state things confidently that are not in the document. Check every answer that matters against the source document before you rely on it.
An AI summary is not a substitute for the solicitation. The solicitation itself, its amendments, the applicable FAR and agency provisions, the agency instructions, and anything the contracting officer tells you all control over anything InstantSam says.
AI output from InstantSam is not legal advice, accounting advice, or official procurement advice, and does not guarantee that a proposal will be responsive or that a contract will be awarded.
Solicitation text and the questions you ask about it are sent to third party AI providers acting as our service providers, under contracts that restrict what they may do with the content. The providers we use are listed in the Privacy Policy.
We do not use your questions, or the answers you receive, to train any general purpose AI model, ours or anybody else.
8. Your content
You keep ownership of what you put into InstantSam: your company profile, your saved searches, your pipeline notes, your bid amounts and outcomes, and the questions you ask about a solicitation. You give us a limited licence to store, process, analyse and display that content solely to provide the service to you, and for no other purpose.
Do not enter classified material, export controlled technical data, or anything you are not permitted to disclose to a commercial service provider.
You can delete your questions and the answers to them at any time, from the app or from your account page, and they are deleted automatically after six months either way. Deleted content is removed from the live service promptly and may persist in encrypted backups for up to thirty five days before those backups age out. Retention periods for everything else are set out in the Privacy Policy.
Solicitation documents published on SAM.gov are public government material. InstantSam reads them on your behalf and keeps the extracted text as a shared cache, because the same notice is read by many customers. That text is not your content and is not covered by this section.
9. What belongs to us
InstantSam LLC owns the software, the InstantSam name and logo, the matching and analysis methods, the database structure, the interface design, the written content, and the reports and analytics the service produces. You get a limited, revocable, non-exclusive, non-transferable licence to use the service while your account is in good standing.
You may not:
- Copy, resell, sublicense or redistribute the platform or its output as a competing product.
- Scrape the service, or access it by automated means outside a documented API we have given you access to.
- Reverse engineer the service, except where that restriction is unenforceable where you live.
- Work around technical limits, rate limits or subscription restrictions.
Public government information is not ours and we do not claim it. The arrangement, enrichment and analysis of it is.
If you send us feedback or suggestions, we may use them without obligation or payment. You do not lose any rights you already had.
10. Acceptable use
Do not use InstantSam to do any of the following:
- Anything illegal, fraudulent, or intended to deceive.
- Impersonate another person or business.
- Access an account you are not entitled to access.
- Introduce or distribute malware.
- Attack, overload, or interfere with the service or its infrastructure.
- Scrape at volume, or resell data in ways the underlying licences do not permit.
- Infringe the rights of others, including intellectual property rights.
- Enter unlawful content.
11. Subscriptions, billing and cancellation
Paid plans, prices, automatic renewal, usage limits, how to cancel, and what happens when a payment fails are all set out in the Subscription and Billing Terms, which form part of this agreement. Refunds are covered by the Refund Policy.
Subscriptions renew automatically until you cancel. You can cancel at any time, in the same place you subscribed, without contacting support.
12. Disclaimer of warranties
To the fullest extent permitted by law, InstantSam is provided as is and as available, without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
Specifically, we do not warrant:
- That government data we display is accurate, complete or current.
- That the service will be available without interruption or error.
- That an alert, email or push notification will be delivered, or delivered on time.
- That government systems we depend on will be available.
- That opportunity matching will surface every relevant opportunity.
- That AI output is accurate or complete.
- That a deadline we display is the operative deadline.
- Any outcome of a bid, proposal or award.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law, InstantSam LLC and its members, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost business, lost contracts, missed solicitations, missed deadlines, lost data, or business interruption, arising out of or relating to the service, whether based in contract, tort, statute or otherwise, and whether or not we were advised such damages were possible.
Our total liability for all claims relating to the service in any twelve month period will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred United States dollars.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnification
You agree to defend, indemnify and hold harmless InstantSam LLC from third party claims, damages, losses and reasonable legal costs arising from your use of the service in breach of these Terms, your infringement of the rights of others, content you enter that you had no right to disclose, your fraud or misrepresentation, or your misuse of government information.
We will notify you promptly of any claim, give you control of the defence for claims covered by this section, and cooperate reasonably at your expense. You may not settle a claim in a way that imposes an obligation on us without our written consent.
15. Governing law and where disputes are heard
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Subject to the section below, the state and federal courts located in Harris County, Texas have exclusive jurisdiction, and you consent to their jurisdiction and venue.
16. Dispute resolution
Before starting any formal proceeding, please write to support@instantsam.com describing the problem and what you want done about it. Most disputes can be resolved this way, and we will respond within thirty days.
You may bring an individual claim in small claims court in Harris County, Texas, or in the small claims court where you live, at any time.
17. Ending the agreement
You can stop using InstantSam at any time. Cancelling a subscription stops future charges. Deleting your account removes your data as described in the Privacy Policy. Those are two separate actions and doing one does not do the other.
We may suspend or end your access for a material breach of these Terms, or if we stop offering the service. If we stop offering the service, we will give you at least thirty days notice and refund the unused part of any prepaid period.
Sections 6, 7, 9, 12, 13, 14, 15 and 16 survive the end of this agreement.
18. The rest
If a court finds any part of these Terms unenforceable, the rest stays in force. Our not enforcing something is not a waiver of it. You may not transfer this agreement without our consent. We may transfer it in connection with a merger, acquisition or sale of the business, and we will tell you if that happens.
These Terms, together with the Privacy Policy, the Subscription and Billing Terms and the Refund Policy, are the entire agreement between us about InstantSam.
